‘No human at the helm’: Delaware plan would allow AI agents to run entire companies
Citing Patibanda-Sanchez’s announcement, Comer wrote that an AI-managed business would provide “the human or entity capitalizing the AIC with liability protections against potential harm to business partners, consumers, and the public, perpetrated by the controlling AI.”
A spokesperson for Governor Meyer told Ars today that “we have received the letter and are reviewing it.” A spokesperson for Patibanda-Sanchez declined to comment, saying the governor’s office was handling press inquiries on the matter.
Patibanda-Sanchez’s op-ed says Delaware’s planned regulatory sandbox will “drive agent commerce in the light of day, under supervision, with capital tied to accountability and the ability to stop a system.” The 30-month trial period would give the state Legislature “a complete brief to decide how to legislate” AI-run businesses, he said.
Delaware is home to most Fortune 500 companies
A future state law allowing AI-operated companies would have a particularly big impact in Delaware, where about two-thirds of Fortune 500 companies are incorporated in the state. Even though Elon Musk now prefers Texas, many companies choose Delaware for its low corporate taxes and business-friendly legal framework. Patibanda-Sanchez boasts that Delaware offers “the most predictable and business-oriented legal home in the world” and that 334,461 new entities were created in Delaware in 2025.
Patibanda-Sanchez collaborated on the sandbox plan with a private company that claims to make legal AI agents for businesses. “The framework for industry engagement with AICs is being developed in Delaware through a public-private partnership led by Norm Ai,” said the editorial co-authored by Patibanda-Sanchez and Norm Ai founder and CEO John Nay.
Meyer, a Democrat, publicly supported the idea of letting AI agents integrate in a response to an April 2026 social media post by Mark Cuban. Cuban wrote: “If I were the governor of a state looking to increase revenue, I would add the ability for anyone to incorporate using an AI agent and stablecoins. And charge extra for the service. Publish the agent on the marketplace/connectors that large LLMs have, to make it simple for everyone. First to market is a killer.”
